This Disclaimer Statement (the "Disclaimer") is provided by Peridot Technologies, Inc. ("PERIDOT," "we," "us," or "our"), a Delaware corporation, and is intended to complement and be read in conjunction with our Terms of Use and Privacy Policy.

ACCEPTANCE OF DISCLAIMER

a. YOUR USE OF "PERIDOT" (THE "APP") IS AT YOUR OWN RISK. THE SERVICE, CONTENT, AND FEATURES PROVIDED THROUGH THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

b. PERIDOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

c. You understand and agree that your use of the App is at your sole risk and discretion. PERIDOT shall not be liable for any harm that may result from your use of the App.

d. By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by this Disclaimer in addition to our Terms of Use and Privacy Policy.

e. If you do not agree with any part of this Disclaimer, you must discontinue use of the App immediately.

NO PROFESSIONAL ADVICE

a. Content provided through the App is for informational purposes only and does not constitute professional advice of any kind.

b. PERIDOT is not engaged in rendering legal, financial, medical, or other professional services. If you require such advice, you should consult with an appropriate professional.

CONTENT

a. While we strive to provide accurate and up-to-date information, PERIDOT makes no representations or warranties about the completeness, reliability, accuracy, or availability of the App or the information, products, services, or related graphics contained on the App.

b. PERIDOT does not warrant that:

  1. The function or content contained in the service will be uninterrupted, error-free, or that defects will be corrected;
  2. The site or server that makes it available is free of viruses or harmful components;
  3. User-generated content is accurate, appropriate, or non-offensive.
  4. You acknowledge that content may include technical inaccuracies or typographical errors.
  5. The accuracy of location information displayed about users;
  6. The compatibility of matches suggested through our algorithm;
  7. The availability of users shown as active or recently active.

c. Any reliance you place on such information is strictly at your own risk.

USER INTERACTIONS AND SAFETY

a. General Safety Obligations: User acknowledges that personal safety is a shared responsibility between PERIDOT and User when using the App. User agrees to exercise reasonable care and judgment regarding their personal safety while using the App and to comply with all applicable laws and regulations related to personal safety and security.

b. Meeting Other Users: When arranging to meet other users through the App, User agrees to:

  1. Initially communicate through the App's messaging system before sharing personal contact information;
  2. Meet in public, well-lit locations for first encounters;
  3. Inform a trusted friend or family member about meeting details, including time, location, and the other user's profile information;
  4. Arrange personal transportation to and from meetings and maintain the ability to leave independently;
  5. Remain sober and alert during initial meetings with other users; and
  6. Trust personal instincts and leave immediately if uncomfortable or if safety concerns arise.

c. Information Sharing: User agrees to exercise caution when sharing personal information through the App and specifically agrees to:

  1. Refrain from sharing sensitive personal information (including but not limited to home address, financial information, government identification numbers, or workplace details) until an appropriate level of trust has been established;
  2. Never share login credentials, verification information, or account details with other users; and
  3. Report any requests for financial assistance, regardless of the circumstances or apparent legitimacy.

d. Reporting Safety Concerns: User agrees to promptly report to PERIDOT and, when appropriate, to relevant law enforcement authorities, any:

  1. Threatening, harassing, or concerning behavior by other users;
  2. Requests for money or financial information;
  3. Suspected fraudulent activities or profiles; and
  4. Violations of these Terms or applicable laws.

e. Verification and Accuracy: User agrees to:

  1. Provide accurate information during the verification process as described in these Terms;
  2. Not misrepresent their identity or impersonate others; and
  3. Report any suspected account compromises or unauthorized access immediately.

f. Prohibited Safety-Related Conduct: User shall not:

  1. Use the App while operating a vehicle or in any manner that could endanger themselves or others;
  2. Share or post content that reveals private information about other users without their express consent;
  3. Use the App to stalk, harass, or intimidate other users; or
  4. Attempt to use the App to arrange meetings or activities that violate applicable state laws or regulations.

g. Assumption of Risk: User understands and acknowledges that:

  1. PERIDOT cannot guarantee the conduct of other users or the accuracy of information they provide;
  2. User assumes all risks associated with using the App and interacting with other users, including but not limited to physical harm, emotional distress, or financial loss; and
  3. PERIDOT's verification processes, while designed to enhance safety, do not constitute endorsement of users or guarantee their intentions or conduct.

h. Compliance with Laws: User agrees to comply with all applicable laws and regulations related to personal safety, privacy, and online conduct, including but not limited to laws regarding harassment, stalking, and assault.

THIRD-PARTY CONTENT

a. The App may contain links to third-party websites or content provided by other users. These links and content are provided solely for your convenience.

b. PERIDOT has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

USER VERIFICATION LIMITATIONS

a. While PERIDOT implements reasonable measures to verify user identities, we cannot guarantee the accuracy, completeness, or reliability of any user's identity information.

b. PERIDOT does NOT conduct criminal background checks on users and does not guarantee the conduct of users and is not responsible for the conduct of any users, whether online or offline. You are solely responsible for your interactions with other users and for taking reasonable precautions in all interactions with other users, particularly if you decide to meet in person.

c. User verification processes are designed to enhance safety but are not infallible. PERIDOT does not warrant that our verification processes will:

  1. Detect all instances of false information;
  2. Prevent all unauthorized users from accessing the platform; or
  3. Identify all potential safety risks.

d. By using the App, you acknowledge that:

  1. Verification badges or indicators represent that a user has completed certain verification steps;
  2. Verification does not constitute an endorsement or any user by PERIDOT;
  3. Verification does not guarantee a user's character, intentions, or compatibility; and
  4. You are responsible for exercising appropriate caution when interacting with other users.

e. PERIDOT shall not be liable for any damages arising from:

  1. Reliance on user verification indicators;
  2. Interactions with verified or unverified users;
  3. Misrepresentations by other users; or
  4. Failure of verification processes to detect fraudulent information.

LIMITATION OF LIABILITY

a. To the maximum extent permitted by applicable law in Delaware, in no event shall PERIDOT, its affiliates, or their respective officers, directors, employees, agents, suppliers, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages.

b. This includes, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from your use or inability to use the App, regardless of whether such damages are based on warranty, contract, tort, or any other legal theory.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PERIDOT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses arising out of your use of the App or your violation of this Disclaimer.

FORCE MAJEURE

Neither PERIDOT nor any party to this Disclaimer shall be liable for any failure or delay in performing its obligations hereunder if such failure or delay is caused by circumstances beyond its reasonable control (a "Force Majeure Event"), including but not limited to:

  1. acts of God, natural disasters, or extreme weather conditions, including but not limited to earthquakes, floods, hurricanes, tornados, wildfires, or volcanic eruptions;
  2. epidemics, pandemics, quarantines, or public health emergencies;
  3. war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot, civil unrest, or other civil disturbances;
  4. government actions, orders, restrictions, regulations, or requirements;
  5. embargoes or blockades;
  6. national or regional emergencies;
  7. strikes, labor stoppages or slowdowns, or other industrial disturbances;
  8. power, telecommunication, or internet failures or outages; or
  9. other similar events beyond the reasonable control of the affected party.

GOVERNING LAW

a. This Disclaimer shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

b. Any legal action or proceeding relating to your access to or use of the App shall be instituted in the courts of Delaware.

SEVERABILITY

a. Severability of Provisions: If any provision of this Disclaimer, or any portion thereof, is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable under the laws of the State of Delaware, such invalidity, illegality, or unenforceability shall not affect the validity, legality, and enforceability of the remaining provisions or portions of this Disclaimer. The remaining provisions and portions of this Disclaimer shall remain in full force and effect and shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

b. Modification: If a court of competent jurisdiction declares any provision of this Agreement to be invalid, illegal, or unenforceable, the parties agree that the court making such determination shall have the power to:

  1. limit such provision;
  2. delete specific words or phrases; or
  3. replace the invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that comes as close as possible to expressing the intention of the invalid, illegal, or unenforceable provision.
  4. This Disclaimer shall be enforceable as so modified.

c. Reformation: In the event the court does not exercise the Modification power herein this Disclaimer, the parties agree to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, to the extent possible, the economic and business purposes of the invalid, illegal, or unenforceable provision.

CHANGES TO DISCLAIMER

a. PERIDOT reserves the right to modify this Disclaimer at any time without prior notice. Changes will be effective immediately upon posting on the App.

b. Your continued use of the App after any such changes constitutes your acceptance of the new Disclaimer.
